The short version
- By using Boongon, you agree to these terms.
- Pay your subscription on time; we'll keep the service running.
- Don't use Boongon to do illegal things.
- Your data is yours. We don't claim ownership.
- The service is provided "as is" with reasonable best-effort uptime, but we can't guarantee perfection.
1. Acceptance
By creating an account or otherwise using Boongon (the "Service"), you ("Customer", "you") agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.
2. The Service
Boongon provides a cloud-based ERP and accounting platform. We may update, modify, or improve the Service over time. We'll give reasonable notice of breaking changes.
3. Account and access
- You're responsible for maintaining the confidentiality of your account credentials.
- You're responsible for the actions taken by users you grant access to.
- Tell us promptly at hello@boongon.com if you suspect unauthorized access.
- You agree to provide accurate registration information and keep it current.
4. Subscription and fees
Boongon is offered on a subscription basis. Pricing is set out on the Pricing page. Fees are billed per active user, per month, in Philippine pesos (PHP), unless otherwise agreed in writing.
- Trial period, A free 14-day trial is offered to new accounts. No credit card required to start.
- Billing cycle, Monthly or annual, at your choice. Annual subscriptions are billed up-front.
- Plan changes, You can upgrade or downgrade at any time. Upgrades take effect immediately; downgrades apply at the next billing cycle.
- Late payment, Accounts with unpaid invoices may have access suspended after 14 days' notice. Data is retained for 30 days after suspension before deletion.
- Refunds, Pro-rated refunds are available within 14 days of subscription start.
- Promotions, Promotional pricing is governed by the specific terms communicated at the time of the promotion and is non-transferable.
5. Acceptable use
You agree not to use Boongon to:
- Violate any law or regulation.
- Infringe anyone's intellectual property or privacy rights.
- Send spam, malware, or any content that's defamatory, obscene, or threatening.
- Reverse-engineer the Service or attempt to extract its source code.
- Use the Service to build a competing product.
- Resell the Service to third parties without our written consent.
We may suspend or terminate accounts that violate these rules.
6. Your data and content
- You retain all rights to the data you put into Boongon (the "Customer Data").
- You grant us a non-exclusive, limited license to host, copy, transmit, display, and process Customer Data only to provide the Service to you.
- You are responsible for the accuracy, legality, and right to use Customer Data.
- You can export your Customer Data in open formats at any time during your subscription, and for 30 days after termination.
7. Our intellectual property
The Service, including all software, documentation, designs, trademarks, and our logo, is owned by Boongon. Nothing in these Terms transfers ownership of our intellectual property to you. You're granted a non-exclusive, non-transferable right to use the Service during your subscription.
8. Confidentiality
Each party agrees to treat the other's non-public business information as confidential. This obligation survives termination of these Terms.
9. Service level and uptime
We target 99.9% monthly uptime for the production Service, excluding scheduled maintenance announced at least 48 hours in advance. The current status of the Service is at boongon.com/status.
While Philippine compliance features (BIR forms, Books of Accounts, CAS documentation) are in active development, we do not guarantee their availability or accuracy. The roadmap at boongon.com/roadmap tracks delivery status.
10. Warranties and disclaimers
We provide the Service with reasonable skill and care. Otherwise, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.
You understand that the Service does not constitute legal, accounting, tax, or financial advice. Use of the Service is at your discretion and risk.
11. Limitation of liability
To the maximum extent permitted by law, our total aggregate liability arising from or related to these Terms or the Service is limited to the amount you paid us in the 12 months preceding the event giving rise to the claim. Neither party is liable for indirect, incidental, consequential, special, or punitive damages.
12. Indemnification
You agree to indemnify and hold Boongon harmless from claims arising from your misuse of the Service, your violation of these Terms, or your violation of any third-party rights.
13. Termination
- By you, Cancel anytime from account settings. The cancellation takes effect at the end of the current billing cycle; no refund for unused time.
- By us, We may terminate for material breach (including non-payment) with reasonable notice and an opportunity to cure. We may suspend immediately if continued operation would expose us or other customers to significant risk.
- After termination, You can export Customer Data for 30 days. After that, we may delete it.
14. Changes to these Terms
We may update these Terms from time to time. For material changes, we'll notify active accounts by email at least 30 days in advance. Continued use after a change means you accept the updated Terms.
15. Governing law and disputes
These Terms are governed by the laws of the Republic of the Philippines. Any dispute arising out of or relating to these Terms is subject to the exclusive jurisdiction of the courts located in Metro Manila, Philippines.
